Julian Zegelman assists clients with their diverse business needs, including entity formation, venture capital fund formation, mergers and acquisitions, strategic alliances, private securities offerings, reverse mergers and alternative public offerings, equity and debt financing, corporate governance and compliance, intellectual property protection and transfer, technology licensing, and tax-exempt entity formation, restructuring and regulatory compliance. Julian successfully represents entrepreneurs and start-ups from inception through multiple rounds of venture financing and ultimate exit. In addition, he also represents a number of venture capital funds and individual angel investors in their investments into portfolio companies.

A graduate of the Wharton School of the University of Pennsylvania and holding an MBA from NYU in both Finance and International Business, John Rosenbaum brings to the firm a wealth of knowledge and experience in both law and business. After graduating cum laude from the University of San Francisco School of Law, where he was an Editor of the U.S.F. Law Review, John served as Law Clerk to the Chief Judge of the United States District Court for the Eastern District of California. Subsequently, as a longtime corporate attorney with White & Case LLP and Fenwick & West LLP, John was charged with responsibility for significant and complex transactions.

Nima Maleki works with the firm's corporate and securities arm on projects that include entity formation, venture capital fund formation, mergers and acquisitions, private security offerings, equity and debt financing, and alternative public offerings. After moving to California from Texas to attend Santa Clara University School of Law, Nima worked as both in-house counsel at a private equity firm and in the Private Equity group at Ropes & Gray LLP. Nima brings this experience to his representation of the firm’s many entrepreneur and start-up clients.

Alexander Volchegursky brings nearly two decades of experience to his practice working extensively with a broad range of businesses and individual investors. Svetlana Rishina is a dedicated trial attorney who brings years of experience to her commercial litigation practice, focusing on cross-border business disputes involving companies in Russia, Eastern and Western Europe, Asia and the United States. Prior to joining the firm, Svetlana handled a broad range of complex business matters, as well as FCPA and SOX investigations, on behalf of prominent regional and international law firms. In addition to her litigation practice, Svetlana provides pro bono services through the Bar Association of San Francisco.

Mila Balke is a third-year law student and Senior Technical Editor of Santa Clara Law Review at Santa Clara University School of Law. She received a High Tech Excellence Award for 2016-2017 from SCU Law. As a Summer Associate, Mila assists the firm’s corporate attorneys with transactional documents for entity formation and dissolution, mergers and acquisitions, corporate governance and compliance, as well as technology licensing and regulatory filings. Mila is also actively involved in research and memo drafting on new technology, venture financing, and securities regulations for the firm’s diverse clients.
