Prior to founding Velton · Zegelman, Julian Zegelman most recently practiced with the Silicon Valley office of Ropers Majeski Kohn & Bentley, a regional law firm with attorneys across California, Massachusetts and New York. His practice focuses on assisting clients with their diverse business needs, including entity formation, venture capital fund formation, mergers and acquisitions, strategic alliances, private securities offerings, reverse mergers and alternative public offerings, equity and debt financing, corporate governance and compliance, intellectual property protection and transfer, technology licensing, and tax-exempt entity formation, restructuring and regulatory compliance. Mr. Zegelman successfully represents entrepreneurs and start-ups from inception through multiple rounds of venture financing and ultimate exit. In addition, he also represents a number of venture capital funds and individual angel investors in their investments into portfolio companies.

  • Represented management in the formation of a $35 million private equity fund organized in Delaware
  • Represented numerous limited partners in their investments into venture capital funds, hedge funds, and private equity funds
  • Ongoing representation of publicly traded venture capital fund TMT Investments PLC in multiple seed and Series A investments into portfolio companies
